Call to Order

The meeting was called to order by Donna Osness, Vice Chairperson.

May 2007 Financials

Simon Scholtz reported on a good month financially.  Gross revenue was $25 million and after deductions for contractual allowances and charity care, net operating revenue was $11.5 million.  Charity care exceeded projections, running 15 percent over budget year to date.   Outpatient revenue was a little over budget.  The Emergency Department has been over budget most of the year, and visits were reported as up 8%.  Total expenses were under budget $67,000 for the month.  Cash is up with receipt of a Blue Cross distribution and Accounts Receivable increased $2 million during the month. 

Mr. Scholtz reported that CMS sent out a notice that Blue Cross would no longer be the Medicare Intermediary for providers due to their bid proposal being too high.   The bidding process is going on now and a decision is to be made by the end of July as to who won the bid.

General Medical Staff Bylaw Changes Recommended

Dr. Chris Penn reviewed the Bylaw changes that have gone through the General Medical Staff and recommending to the Board for approval.

CEO Comments

Gene Meyer reported on the following:

• A Governance Institute brochure for the Board to read was placed in front of the books.
• A meeting was held with the Cardiovascular Consultants last week and a lot of changes are being made.  One issue relates to cardiac angiography – work that the Radiologist do and a difference of opinion as to who should own & order equipment—may be a turf issue at LMH.   The group is working on putting together a strategic plan. 
• Blue Cross/Ambulatory Surgery Center relationship – The first meeting did not go well. Mr. Meyer has sent a letter to the President of Blue Cross of Kansas and a meeting is being scheduled for another review of the ASC situation.
• Progress is being made on the construction project – tours available for the Board.
• The bank bids have gone out and a meeting held yesterday for banks to visit with consultants.

Old Business:

• Eudora property update – Andy Ramirez
• Demolition permit received and buildings will be coming down next week.
• Sheryle D’Amico is setting up a committee to develop a Master Plan for this site.
• Radiologist Joint Venture - Karen Shumate reported on the work being done with the Radiologists.  The Orthopedic group has indicated interest and now developing a pro-forma.  A meeting was held Monday night but no decision has been made.  The Ortho group would like to have the center on their site.  This site will be looked at as meeting codes and what might be needed to update.  Legal documents are now being worked on with Andy Ramirez.
• Physician Recruitment Activities –
• Gene Meyer reported that two physicians have been approved for the Emergency Department.
• June 1, 2007 Dr. Scott Gard started at LMH and is doing very well. 
• Dr. Klingler, a urologist joining Dr. Heeb’s practice should be signing a contract soon.
• Dr. Sharma has joined the Lawrence Internal Medicine group.
• Dr. Vance Burns has joined LMH as a Hospitalist beginning around August 1, 2007.
• Have a spine surgeon interested in Lawrence but doesn’t want to be in a group.  The Orthopedic group has been contacted as to the physician’s interest and they want to opportunity to interview him as to how they can work together.

• Reed Medical Building Status – Gene Meyer has met with the group and feels comfortable that the agreement will be signed soon.  The Board approved earlier that the construction of the medical office building was contingent upon the group signing an agreement.
• Capital Campaign – Kathy Clausing reported that the Eudora kick-off was May 31 and thanked Joe Flannery for meeting with the group.  Mr. Flannery stated that he felt a lot of enthusiasm from Eudora and they are excited about LMH’s new medical building to be built.     The close of the capital campaign celebration is on Friday, June 22.  Ms. Clausing stated that they have five big requests still out and hope to hear from them soon.

New Business

• Medical Staff Bylaws Review – Dr. Chris Penn reported that he is creating an Ad Hoc Committee to look at current medical staff residency requirements and categories of medical staff membership.  The Chairperson of the Board shall designate Board members to serve on this committee.

Announcements

• Campaign celebration June 22 from 4:30 – 6:30 pm – west side of LMH.
• There will be no board meeting in July.

Executive Session

MOTION: made by Chuck Heath, seconded by Mark Praeger

that the Board of Trustees recess to Executive Session for

consultation with hospital attorney which would be deemed

privileged in the attorney-client relationship, to include the

CEO, CFO and Chief of Staff.   The open meeting to resume in

this room at 10:30 a.m.   Motion carried.

            to withdraw the offer to contract with the hospital’s

            existing anesthesiology group for exclusive anesthesiology

            and medical director of anesthesiology services.  Motion

            carried 4-3. 

            MOTION: made by Sheryl Jacobs, seconded by Mark Praeger

            to authorize the Chair of the Board of Trustees to execute an

employment agreement on behalf of Lawrence Memorial Hospital

with Eugene Meyer to include an increase in the CEO’s annual base

compensation effective May 21, 2007 to $395,500 payable in part

through a deferred compensation plan qualifying under Internal

            Code Section 457(f) and to include benefits.  Motion carried.
