AGREEEMENT BETWEEN THE CITY OF LAWRENCE, KANSAS
AND CLRB JOHNSON COUNTY, KANSAS ALLOWING LAWRENCE LICENSED CONTRACTORS TO PARTICIPATE IN JOHNSON COUNTY CONTRACTOR LICENSING PROGRAM CONTINUING EDUCATION COURSES
THIS AGREEMENT is made and entered into this day of , 2005, by and between the City of Lawrence, Kansas, a municipal corporation (hereinafter referred to as the “City”), and the Johnson County, Kansas, Contractor Licensing Review Board (hereinafter referred to as “Johnson County”).
Section 1. Purpose. The purpose of this Agreement is to set forth the terms and conditions under which City licensed contractors / qualifying parties may participate in, and receive credit for, Approved Education Classes offered by the Johnson County Contractor Licensing Program.
Section 2. Scope of Services. Johnson County agrees to permit City contractors / qualifying parties to participate in continuing education classes offered by Johnson County Licensing Program in exchange for a per pupil fee as set forth in this Agreement. Johnson County shall provide a suitable facility and all instructional and educational materials necessary to teach the continuing education classes. No additional fees or costs shall be charged to the City or the City contractor/qualifying party without the prior written consent of the City.
Section 3. Fees. The City agrees to pay Johnson County $135.00 per contractor/qualifying party for eight (8) hours of training per year, or $16.88 per hour of training.
Section 4. Billing Procedures. Johnson County shall submit a statement to the City identifying the names of the City licensed contractors or qualifying parties who attended Johnson County Contractor Licensing Program classes, the classes attended, and the amount owed by the City to the County for the classes attended. Within 45 days of receiving said statement, the City shall remit payment to Johnson County.
Section 5. Term. This agreement shall commence on and terminate upon written notice. Johnson County and the City understand and agree that during this Agreement, the parties may make reasonable modifications to the terms of this Agreement, including the fees payable hereunder. Such modifications shall be reduced to writing and signed by the parties before they become effective.
Section 6. Record Keeping and Reporting. Johnson County shall maintain accurate records of City contractors / qualifying parties participating in Johnson County Licensing Continuing Education courses and shall provide the City with an electronic file listing all City contractors / qualifying parties that attend and complete the Contractor Licensing Program in Johnson County.
Section 7. Termination. Either party may terminate this Agreement at any time by giving thirty (30) days written notice to the other party. Johnson County shall be entitled to payment at the rate established herein, for all classes provided to City contractor/qualifying parties through the termination date specified in the notice.
Section 8. Relationship of the Parties. The parties hereto acknowledge and agree that this Agreement shall not create any type of partnership, joint venture or agency relationship between the City and Johnson County.
Section 9. Assignment and Binding Effect. Neither party may assign this Agreement without the prior written consent of the other.
Section 10. Prior Agreements. This Agreement constitutes the entire understanding and agreement between the parties hereto with respect to the subject matter contained herein and supersedes all prior agreements, negotiations, and discussions concerning any matter contained herein.
